Terms and Conditions

Definitions

  • Agreement: Refers to the mutually accepted contract, proposal, terms, and any supporting documents associated with the project.
  • Client Content: Any assets or materials the client provides for use in the project, including but not limited to text, images, or multimedia.
  • Deliverables: The defined outputs that we are obligated to provide to the client under the signed agreement.
  • Designer Tools: This includes all proprietary resources created or used by our team, such as software, fonts, source code, layouts, and design elements, whether or not eligible for copyright or patent protection.
  • Final Deliverables: The completed materials delivered by us at the end of the project that fulfill all specifications agreed upon.
  • Project: The work or service that is being carried out under the agreed terms between our team and the client.
  • Services: All professional tasks or offerings provided to the client as detailed in the agreement or proposal.
  • Third Party Materials: Any content (stock images, illustrations, licensed plugins) acquired from external providers for inclusion in the project.

Development Services

We commit to delivering development services as outlined in the signed proposal and agreement, aligned with the timeline and milestones mutually defined.

Proposal / Scope of Work

All proposals remain valid for 30 calendar days from the date sent to the client. After this window, the proposal may be revised and resubmitted at our discretion.

Compensation

  • Additional Costs: Expenses such as third-party licenses, hosting, or premium integrations will be billed separately from our service fees.
  • Expenses: Any direct expenses will be charged at actual cost.
  • Fees: The client agrees to pay all applicable service fees and taxes in line with the project plan.

Payment

  • Invoices: Payments must be made within 5 business days of receiving an invoice. Invoices will specify additional charges and reimbursable expenses.
  • Payment Schedule: All payments shall follow the timeline and conditions set forth in the project agreement.

Changes to Project Scope

  • Change Request: Clients must submit any change requests in writing. We will respond within 5 business days, outlining impacts on cost, scope, and delivery.
  • Minor Changes: Small modifications (under 20% of the total project cost) will be billed at our hourly rate. Any schedule updates will be communicated accordingly.
  • Major Changes: Substantial changes exceeding 20% of the project value will require a new proposal. Work will pause until the new terms are accepted.
  • Acceptance of Proposals: Clients have 14 business days to approve a new or revised proposal. If not approved within that time, we reserve the right to decline further work.

Delays

  • Client Delays: The client must provide timely responses and materials. Any delay on their part will push all deadlines by the same duration.
  • Our Delays: If delays are caused by us, we will notify the client as soon as possible.
  • External Delays: Any delays caused by external factors (natural disasters, strikes, war, or government actions) will result in proportional extensions without liability to either party.

Evaluation and Acceptance

  • Testing: We will use commercially reasonable methods to test all deliverables before presenting them to the client.
  • Approval Periods: Clients have 7 business days to approve or reject any deliverables. Any rejections must include a written explanation. We will make the necessary revisions within 14 business days. The client then has an additional 7 business days to review the revised work.

Client Responsibilities

Clients are expected to:

  • Ensure all submitted content is ready for use and requires no additional formatting or editing unless agreed otherwise.
  • Proofread all content before submission. Extra editing may incur additional charges.
  • Make timely decisions, especially when involving third-party resources.

Accreditation and Promotion

  • Accreditation: Unless otherwise agreed, we reserve the right to include a hyperlink credit on each webpage we develop.
  • Promotion: We may showcase completed work for promotional purposes, including in portfolios or case studies.
  • Promotional Approval: Neither party shall unreasonably deny the other’s right to publicize their participation in the project. A backlink to the respective site may be included.

Confidential Information

Any data marked as confidential by either party will be treated as such and will not be disclosed to third parties. Information is not considered confidential if already public, independently known, or shared legally without restriction.

Relationships

  • Agents: We may subcontract aspects of the project, but remain fully responsible for the quality and delivery of all work.
  • Exclusivity: Both the client and our team are free to engage with other service providers unless explicitly stated otherwise.
  • Independent Contractor: Our company operates independently. Nothing in the agreement should be interpreted as establishing employment, partnership, or joint venture. All services are provided on a freelance basis and are not considered “work made for hire” unless legally defined.

Liability

We are not responsible for indirect damages or losses. Our total liability is limited to the amount paid by the client for the services in question.

Rights for Work Produced

  • License: The client receives a non-exclusive, perpetual license to use the deliverables as originally intended. Modifications, extraction, or derivative work may require additional permission.

Support Services

  • Warranty Periods: We offer commercially reasonable support to maintain and update our deliverables, charged at our standard rates. If deliverables are altered by third parties, we are no longer responsible for functionality or support.
